It's hard to define precisely because it is usually quite customized, but essentially it is a self-reinsurance/cash-flow deal. You have a big loss, the reinsurer pays, but then you have to pay the reinsurer back over an extended period of time. There is just enough risk transfer maintained so as not to run afoul of the regulations when calling it reinsurance.
