Default Caesar's bought bought by El Dorado

Not sure if I've been to an El Dorado. Maybe in Laughlin for a bachelor's weekend.
From the surface, looks like a tiny company (26 gambling properties) is buying a behemoth (three-fourths of Flamingo and Strip corners). Mostly with stock.

The assumption in the "merger" is that the El Dorado management is better than the Caesar's one. (Or, Caesar's management just doesn't want to do it anymore.)

They had 7 billion in cash. The rest is in stock, created from nowhere except good faith in running a now twice-as-large company.
